Handelsbetingelser for JED IT- & Teleservice ApS
Ved køb af produkter eller ydelser hos JED IT- & Teleservice ApS accepterer kunden nedenstående handelsbetingelser.
- Generelt
Disse handelsbetingelser gælder for alle tilbud, salg, leverancer og ydelser fra JED IT- & Teleservice ApS, CVR-nr. 35653821 (herefter “JED”), medmindre andet er skriftligt aftalt mellem parterne.
Betingelserne erstatter alle tidligere aftaler, vilkår og korrespondance mellem parterne vedrørende den konkrete leverance.
Kundens egne indkøbs- eller standardbetingelser finder ikke anvendelse, medmindre disse udtrykkeligt er accepteret skriftligt af JED.
- Priser og betaling
Alle priser er angivet i danske kroner (DKK) eksklusiv moms, fragt, levering, installation og support, medmindre andet fremgår skriftligt.
Konsulentydelser
Konsulentarbejde faktureres efter gældende timepriser.
Hosting og abonnementsydelser
Hosting-, drift- og abonnementsydelser faktureres forud.
Webshop og varekøb
Ved køb via webshop tillægges fragt, ekspeditionsgebyrer og eventuelle transportomkostninger.
Ordrer på hardware/software under DKK 4.000 ekskl. moms kan pålægges et minimumsordregebyr.
- Betalingsbetingelser
Betaling er netto kontant, medmindre andet fremgår af fakturaen.
Ved forsinket betaling beregnes:
- rente på 2 % pr. påbegyndt måned
- rykkergebyr i henhold til gældende lovgivning
- eventuelle inkasso- og inddrivelsesomkostninger
Indbetalinger afskrives først på renter og gebyrer og derefter på hovedstolen.
Kunden er ikke berettiget til at foretage modregning, medmindre modkravet er skriftligt anerkendt af JED.
- Kortbetaling i webshop
Vi accepterer blandt andet:
- VISA
- Mastercard
Kortbetalinger behandles via en krypteret betalingsgateway leveret af Stripe.
Beløbet trækkes, når varen afsendes, bestilles ved distributør eller ydelsen påbegyndes.
- Ejendomsforbehold
JED forbeholder sig ejendomsretten til leverede varer, indtil hele købesummen inklusive omkostninger, renter og gebyrer er betalt fuldt ud.
Risikoen for varen overgår til kunden ved levering.
- Levering
Levering sker ab lager fra distributør eller JED’s adresse, medmindre andet aftales.
Leveringstider er vejledende, og JED kan ikke holdes ansvarlig for forsinkelser som følge af:
- leverandørsvigt
- transportforhold
- manglende tilgængelighed
- force majeure
- forhold uden for JED’s kontrol
- Returnering og bestillingsfejl
Returnering af varer kan alene ske efter forudgående skriftlig aftale med JED.
Specialbestilte, installerede, konfigurerede eller kundetilpassede produkter og licenser tages som udgangspunkt ikke retur.
- Konsulentydelser og tidsforbrug
Konsulentarbejde faktureres pr. påbegyndt time.
Telefon- og fjernsupport inden for almindelig arbejdstid kan faktureres pr. påbegyndt halve time.
Alle tidsestimater er vejledende og baseret på de oplysninger, der foreligger ved tilbudsgivningstidspunktet. Det faktiske tidsforbrug faktureres efter medgået tid.
Ved længerevarende projekter kan der foretages løbende acontofakturering.
- Abonnementer og hosting
Følgende abonnementer faktureres forud:
- Webhosting
- 3CX-/telefoni-hosting
- Serverovervågning og drift
- PC-support og driftsaftaler
Medmindre andet er aftalt, er minimumsbindingsperioden 12 måneder.
Abonnementer forlænges automatisk for en tilsvarende periode, medmindre de opsiges skriftligt senest 90 dage før udløb.
Prisændringer varsles med minimum 30 dages varsel.
Manglende betaling kan medføre suspension eller ophør af ydelsen.
- Klippekort
Klippekort faktureres ved bestilling og aktiveres ved registreret betaling.
Klippekort kan anvendes til JED’s konsulentydelser og har en gyldighed på 1 år fra faktureringsdato, medmindre andet fremgår af aftalen.
- Transport og rejseomkostninger
Transporttid faktureres efter medgået tid.
Kørsel faktureres efter gældende statslige takster eller særskilt aftalt sats.
Broafgifter, parkering, ophold og øvrige dokumenterede rejseudgifter viderefaktureres til kunden.
- Tilbud
Tilbud er gældende i 14 dage fra tilbudsdatoen, medmindre andet fremgår.
Tilbud på hardware, software eller andre prisfølsomme produkter kan have kortere gyldighed.
JED forbeholder sig ret til prisændringer som følge af:
- valutakursændringer
- leverandørændringer
- afgiftsændringer
- markedsmæssige forhold
- Software og licenser
Software leveres i henhold til producentens gældende licensvilkår.
Kunden accepterer, at JED i nødvendigt omfang kan acceptere tredjeparts licensvilkår på kundens vegne som led i installation og konfiguration.
Softwarelicenser, abonnementer og digitale produkter refunderes som udgangspunkt ikke efter levering.
- Hardware- og softwaregaranti
Hardware og software leveres med den garanti, som producenten eller leverandøren stiller til rådighed.
JED yder ikke selvstændig produktgaranti ud over producentens vilkår.
Garantien omfatter ikke:
- backup og gendannelse af data
- fejlsøgning
- softwareinstallation
- konfiguration
- datatab
- tredjepartsintegrationer
Kunden er ansvarlig for at tage fuld backup inden service, reparation eller garantiarbejde.
- Ansvarsbegrænsning
JED’s ydelser leveres som professionelle IT- og konsulentydelser baseret på best effort-principper.
JED er ikke ansvarlig for indirekte tab eller følgeskader, herunder:
- driftstab
- avancetab
- tab af omsætning
- tab af goodwill
- datatab
- tab som følge af nedetid
JED’s samlede ansvar kan under ingen omstændigheder overstige det beløb, kunden har betalt til JED for den konkrete ydelse inden for de seneste 12 måneder.
Ansvarsbegrænsningen gælder i det omfang, det er tilladt efter gældende ret.
- Backup og datasikkerhed
Kunden er ansvarlig for:
- backup af data
- opbevaring af adgangskoder
- dokumentation af systemopsætninger
- mulighed for genetablering af systemer
Dette gælder både hardware, software, cloudmiljøer, netværk, telefoni og tredjepartssystemer.
JED anbefaler altid, at kunden opretholder en dokumenteret og testet backup-løsning.
- Hosting, drift og oppetid
JED tilstræber høj tilgængelighed på hosting- og driftstjenester, men garanterer ikke uafbrudt drift, medmindre særskilt SLA-aftale er indgået.
Planlagt vedligeholdelse, sikkerhedsopdateringer og tekniske ændringer kan medføre midlertidige driftsforstyrrelser.
JED er ikke ansvarlig for nedetid eller afbrydelser forårsaget af:
- internetudbydere
- cloudleverandører
- datacenterfejl
- cyberangreb
- tredjepartssoftware
- force majeure
- Kundespecifik udvikling og immaterielle rettigheder
Ejendomsretten og alle immaterielle rettigheder til kundespecifik udvikling, kode, scripts, integrationer og programmering tilhører JED, medmindre andet er aftalt skriftligt.
Kunden opnår en ikke-eksklusiv brugsret til det leverede materiale.
Kunden må ikke videresælge, overdrage eller distribuere løsningen uden skriftlig accept fra JED, medmindre det sker som led i en virksomhedsoverdragelse.
- Persondata og GDPR
Hvis JED behandler personoplysninger på vegne af kunden, kan parterne indgå en særskilt databehandleraftale i henhold til gældende databeskyttelseslovgivning.
Kunden er dataansvarlig for egne data og systemer.
- Force majeure
JED er ikke ansvarlig for manglende opfyldelse af forpligtelser som følge af forhold uden for JED’s rimelige kontrol, herunder:
- krig
- terror
- cyberangreb
- naturkatastrofer
- strømnedbrud
- strejke
- pandemi
- leverandørsvigt
- internet- eller netværksnedbrud
- Overdragelse
JED er berettiget til at overdrage sine rettigheder og forpligtelser til tredjemand.
- Lovvalg og værneting
Enhver tvist mellem kunden og JED afgøres efter dansk ret.
Retten i Odense er aftalt som værneting i første instans.
Terms and conditions in English
Terms and Conditions for JED IT- & Teleservice ApS
By purchasing products or services from JED IT- & Teleservice ApS, the customer accepts the following terms and conditions.
- General
These terms and conditions apply to all quotations, sales, deliveries, and services provided by JED IT- & Teleservice ApS, VAT no. 35653821 (hereinafter referred to as “JED”), unless otherwise agreed in writing between the parties.
These terms replace all previous agreements, conditions, and correspondence relating to the specific delivery.
Any purchasing or standard terms of the customer shall not apply unless expressly accepted in writing by JED.
- Prices and Payment
All prices are stated in Danish Kroner (DKK) and exclude VAT, shipping, delivery, installation, and support unless otherwise stated in writing.
Consulting Services
Consulting services are billed according to JED’s current hourly rates.
Hosting and Subscription Services
Hosting, operations, and subscription services are invoiced in advance.
Webshop and Product Purchases
Purchases made through the webshop may be subject to shipping, handling, and transportation charges.
Orders for hardware/software below DKK 4,000 excl. VAT may be subject to a minimum order fee.
- Payment Terms
Payment is due net cash unless otherwise stated on the invoice.
Late payments may incur:
- interest of 2% per commenced month
- reminder and collection fees in accordance with applicable law
- debt collection and recovery costs
Payments received will first be applied to accrued interest and fees, and thereafter to the principal amount.
The customer is not entitled to set off any counterclaims unless such claims have been acknowledged by JED in writing.
- Card Payments in Webshop
We accept, among others:
- VISA
- Mastercard
Card payments are processed through an encrypted payment gateway provided by Stripe.
Amounts are only charged when the goods are shipped or the service has commenced.
- Retention of Title
JED retains ownership of delivered goods until full payment of the purchase price, including all costs, interest, and fees, has been received.
Risk transfers to the customer upon delivery.
- Delivery
Delivery is ex works from distributor or JED premises unless otherwise agreed.
Delivery times are estimates only, and JED cannot be held liable for delays caused by:
- supplier failures
- transportation issues
- lack of availability
- force majeure
- circumstances beyond JED’s reasonable control
- Returns and Ordering Errors
Returns are only accepted upon prior written agreement with JED.
Special-order, installed, configured, customized products, licenses, and digital services are generally non-refundable.
- Consulting Services and Time Consumption
Consulting services are billed per commenced hour.
Telephone and remote support during normal business hours may be billed per commenced half-hour.
All time estimates are indicative and based on the information available at the time of quotation. Actual time spent will be invoiced accordingly.
For ongoing projects, JED may issue interim invoices during the project period.
- Subscriptions and Hosting
The following services are invoiced in advance:
- Web hosting
- 3CX/telephony hosting
- Server monitoring and operations
- PC support and managed services
Unless otherwise agreed, the minimum subscription term is 12 months.
Subscriptions renew automatically for equivalent renewal periods unless terminated in writing no later than 90 days before expiration.
Price changes will be notified with at least 30 days’ notice.
Non-payment may result in suspension or termination of the service.
- Prepaid Service Packages
Prepaid service packages are invoiced upon order and become active once payment has been registered.
Such packages may be used for JED consulting services and do not expire unless otherwise agreed.
- Transportation and Travel Expenses
Travel time is billed according to time spent.
Mileage is invoiced according to applicable government rates or separately agreed rates.
Bridge tolls, parking, accommodation, and other documented travel expenses will be re-invoiced to the customer.
- Quotations
Quotations are valid for 14 days from the quotation date unless otherwise stated.
Quotations for hardware, software, or other price-sensitive products may have shorter validity periods.
JED reserves the right to adjust prices due to:
- currency fluctuations
- supplier price changes
- taxes and duties
- market conditions
- Software and Licenses
Software is supplied subject to the applicable license terms of the manufacturer or vendor.
The customer accepts that JED may, where necessary, accept third-party license agreements on behalf of the customer as part of installation and configuration services.
Software licenses, subscriptions, and digital products are generally non-refundable once delivered.
- Hardware and Software Warranty
Hardware and software are supplied with the warranty provided by the manufacturer or supplier.
JED does not provide any separate product warranty beyond the manufacturer’s warranty terms.
Warranty does not include:
- backup or restoration of data
- troubleshooting
- software installation
- configuration
- data recovery
- third-party integrations
The customer is responsible for ensuring complete backups before any service, repair, or warranty work is performed.
- Limitation of Liability
JED’s services are provided as professional IT and consulting services based on best-effort principles.
JED shall not be liable for any indirect or consequential losses, including:
- operational losses
- loss of profit
- loss of revenue
- loss of goodwill
- loss of data
- losses caused by downtime
Under no circumstances shall JED’s total liability exceed the amount paid by the customer to JED for the specific service during the preceding 12 months.
This limitation applies to the maximum extent permitted by applicable law.
- Backup and Data Security
The customer is responsible for:
- maintaining backups
- storing passwords securely
- documenting system configurations
- ensuring system recovery capabilities
This applies to hardware, software, cloud environments, networks, telephony systems, and third-party systems.
JED strongly recommends that the customer maintains documented and tested backup procedures.
- Hosting, Operations, and Uptime
JED aims to provide high availability for hosting and operational services but does not guarantee uninterrupted operation unless covered by a separate SLA agreement.
Scheduled maintenance, security updates, and technical changes may result in temporary service interruptions.
JED shall not be liable for downtime or interruptions caused by:
- internet service providers
- cloud providers
- datacenter failures
- cyberattacks
- third-party software
- force majeure
- Customer-Specific Development and Intellectual Property Rights
Ownership and all intellectual property rights related to customer-specific development, code, scripts, integrations, and programming remain the property of JED unless otherwise agreed in writing.
The customer is granted a non-exclusive right to use the delivered solution.
The customer may not resell, transfer, or distribute the solution without prior written consent from JED unless such transfer occurs as part of a business transfer.
- Personal Data and GDPR
If JED processes personal data on behalf of the customer, the parties may enter into a separate Data Processing Agreement in accordance with applicable data protection legislation.
The customer remains the data controller for its own systems and data.
- Force Majeure
JED shall not be liable for failure to perform obligations caused by circumstances beyond JED’s reasonable control, including:
- war
- terrorism
- cyberattacks
- natural disasters
- power outages
- strikes
- pandemics
- supplier failures
- internet or network outages
- Assignment
JED is entitled to assign its rights and obligations to third parties.
- Governing Law and Jurisdiction
Any dispute between the customer and JED shall be governed by Danish law.
The Court of Odense, Denmark, shall have jurisdiction as the agreed venue of first instance.
